1. About these terms

These terms and conditions apply to all consulting engagements provided by Mossvale ("we", "us", "our") to clients ("you", "the client"). By confirming an engagement, you agree to these terms. These terms are supplemented by any engagement letter or scope document provided at the outset of a specific engagement.

Use of this website is also subject to our Privacy Policy and Cookie Policy.

2. Services

Mossvale provides the following consulting services:

• Retreat Planning and Facilitation (SVC-01): agenda design, pre-reading preparation, day-of facilitation, and a post-retreat summary. Venue and logistics are the client's responsibility.
• Goal-Setting Framework Workshop (SVC-02): a facilitated half-day working session for management teams, resulting in a one-page goal-setting framework document.
• Decision Log Setup (SVC-03): a two- to three-week engagement to design and implement a structured decision log practice within the client organisation.

The specific scope of each engagement is agreed in writing before work begins. Any work outside the agreed scope requires a separate written agreement.

3. Fees and payment

Fees are as listed on our website at the time of engagement, or as otherwise agreed in writing:

• SVC-01 Retreat Planning and Facilitation: ฿24,300 per engagement (full day, up to 30 participants)
• SVC-02 Goal-Setting Framework Workshop: ฿6,800 per engagement (half day, 4–15 participants)
• SVC-03 Decision Log Setup: ฿14,800 per engagement (2–3 week engagement)

Fees do not include travel, accommodation, or venue costs, which are invoiced separately at cost where applicable. All fees are quoted in Thai Baht (THB) and are exclusive of applicable VAT.

An invoice will be issued upon confirmation of an engagement. Payment terms are net 14 days from the invoice date unless otherwise agreed in writing.

4. Confirmation and cancellation

An engagement is confirmed when both parties have agreed on scope, fee, and date in writing (email is sufficient). Confirmed bookings are subject to the following cancellation terms:

• Cancellation more than 10 business days before the scheduled session: no charge.
• Cancellation 5–10 business days before the scheduled session: 50% of the agreed fee is payable.
• Cancellation fewer than 5 business days before the scheduled session: the full agreed fee is payable.

We reserve the right to reschedule an engagement in the event of circumstances outside our control. We will provide as much notice as practicable and will work with the client to find a suitable alternative date.

5. Deliverables and intellectual property

Deliverables produced in the course of an engagement (such as post-retreat summaries, framework documents, and decision log templates) are provided for the client's internal use. Ownership of these materials transfers to the client upon full payment of the associated fee.

We retain ownership of any general methodologies, frameworks, and processes used in delivering services. We may not reproduce client-specific deliverables or share confidential client information in any other context.

6. Confidentiality

We treat all information shared by clients in the course of an engagement as confidential. We will not disclose client information to third parties except where required by law, or where the client has given explicit consent.

The client is similarly asked to treat any non-public information about our methods, pricing, or processes as confidential.

7. Limitation of liability

Our services are advisory and facilitative in nature. We do not make representations about the outcomes of decisions made by the client organisation, and we do not accept liability for decisions made by the client following an engagement.

To the extent permitted by law, our total liability in connection with any engagement is limited to the fee paid for that engagement. We are not liable for indirect or consequential losses of any kind.

8. Governing law

These terms are governed by the laws of the Kingdom of Thailand. Any disputes arising from an engagement will be subject to the exclusive jurisdiction of the Thai courts.

9. Changes to these terms

We may update these terms from time to time. The version in effect at the time an engagement is confirmed will apply to that engagement. Any material updates will be reflected in the "last updated" date above.
